These Terms and Conditions ("Terms") govern your access to and use of Norcemic Inc.'s products, services, website, and mobile applications (collectively, the "Services"), including the SmartCemic device and associated software. By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Throughout these Terms, "Norcemic," "we," "us," and "our" refer to Norcemic Inc., its subsidiaries, affiliates, officers, employees, agents, and contractors. "You" and "your" refer to any individual or entity using our Services. "SmartCemic" refers to our non-invasive glucose monitoring device and associated software applications.

The SmartCemic device is a medical device intended for use in monitoring blood glucose levels. While our device provides monitoring capabilities, it is not intended to replace regular medical consultation or professional diabetes care. Any decisions regarding medical treatment should be made in consultation with qualified healthcare professionals.

We make no guarantees regarding the accuracy, reliability, or completeness of any readings or data provided by the SmartCemic device. While we strive to maintain high standards of accuracy and reliability, various factors may affect device performance. Users should always verify unusual readings and consult healthcare providers for medical decisions.

To use our Services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You must immediately notify us of any unauthorized use of your account or other security breaches.

You must be at least 18 years old to create an account. If you are creating an account on behalf of a minor, you represent that you are the legal guardian and accept these Terms on their behalf.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services for their intended purposes. This license is conditional upon your compliance with these Terms and any documentation we provide.

All intellectual property rights in the Services, including patents, trademarks, copyrights, and trade secrets, are owned by Norcemic or its licensors. No ownership rights are transferred to you through your use of the Services.

You agree to use our Services in compliance with all applicable laws and regulations. You must not:

• Attempt to circumvent any security features of the device or software
• Reverse engineer, decompile, or modify the SmartCemic device or software
• Use the Services for any unlawful purpose
• Interfere with other users' access to the Services
• Submit false or misleading information
• Violate any applicable healthcare or medical device regulations

Your use of our Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. You acknowledge that we collect and process personal and health data as described in our Privacy Policy and consent to such processing.

Payment for devices, supplies, and subscription services must be made according to our current pricing and payment terms. All payments are non-refundable except as required by law or explicitly stated in our refund policy.

Subscription services will automatically renew unless cancelled according to our cancellation policy. You authorize us to charge your payment method for renewals unless you notify us otherwise.

We provide the SmartCemic device with a limited warranty as detailed in our warranty documentation. Except as explicitly stated in our warranty, the Services are provided "as is" and "as available" without any warranties of any kind, whether express or implied.

To the maximum extent permitted by law, we disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Norcemic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services, including but not limited to:

• Personal injury or death resulting from use of the device
• Loss of profits, data, or business opportunities
• Interruption of business
• Cost of substitute goods or services

Our total liability for any claims arising from these Terms or use of our Services shall not exceed the amount you paid for the Services in the twelve months preceding the claim.

You agree to indemnify and hold harmless Norcemic, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice. We may also modify these Terms at any time. Continued use of the Services after such modifications constitutes acceptance of the modified Terms.

We may terminate or suspend your access to the Services immediately without notice if we believe you have violated these Terms. You may terminate your account at any time by following our account closure procedures.

Upon termination:

• Your license to use the Services will end
• You must cease all use of the Services
• You must return or destroy any confidential information in your possession
• Any outstanding payments will become immediately due

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].

The SmartCemic device and associated software may be subject to export control laws. You agree to comply with all applicable export control laws and not to export or re-export the Services in violation of such laws.

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, pandemic, or natural disasters.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.

You may not assign or transfer these Terms or any rights or obligations without our prior written consent. We may assign these Terms at any time without notice.

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Norcemic regarding the Services and supersede all prior agreements and understandings.
